Introduction

1.1 These Buddy Bonus Programme Terms and Conditions (“Programme Terms”) govern the Hata Buddy Bonus Programme (“Programme”) made available by Hata Digital Sdn. Bhd. (“Hata”, “we”, “us” or “our”).

1.2 The Programme enables eligible users of Hata Malaysia’s platform to refer other persons to sign up for and use eligible Hata Malaysia products and services, including designated staking products, subject to these Programme Terms.

1.3 By participating in the Programme, each participant agrees to be bound by these Programme Terms, together with Hata’s Terms of Use, Privacy Policy, Risk Warning and any other applicable terms, policies, guidelines or notices issued by Hata from time to time. In the event of any inconsistency, these Programme Terms shall prevail only to the extent of such inconsistency in relation to the Programme.

1.4 By accessing, enrolling in, applying for, or participating in the Programme, including by applying a Buddy Bonus Code, completing any qualifying action, or claiming any Reward, each participant is deemed to have read, understood and accepted these Programme Terms.

Definitions

In these Programme Terms, unless the context otherwise requires:

Buddy Bonus Code” means the unique referral code, referral link, invitation code or such other identifier issued or made available by Hata for the purposes of the Programme.

KYB” means Know Your Business verification, being Hata’s business, corporate or institutional account verification process, as distinguished from KYC Verification for individual users.

KYC Verification” means the successful completion of all onboarding, identity verification, due diligence, screening and account approval requirements imposed by Hata.

Referee” means a person who applies a valid Buddy Bonus Code in connection with the Programme.

Referrer” means an eligible user who shares their Buddy Bonus Code with another person for purposes of the Programme.

“Referral Page” means the Buddy Bonus programme page, referral page, campaign page or such other webpage, in-app page or interface made available by Hata from time to time, which sets out the applicable Programme details, including qualifying conditions, thresholds, supported assets, reward amounts and such other information relating to the Programme.

Reward(s)” means any referral reward, incentive, benefit, rebate, promotional credit, digital asset reward or other benefit made available by Hata under the Programme, in such form, type, value and amount as Hata may determine from time to time.

Staking Product” means any staking product or service made available by Hata on its platform from time to time, as designated by Hata for purposes of the Programme.

Verified User” means a user whose Hata account has successfully completed KYC Verification and remains active and in good standing.

Eligibility

3.1 Participation in the Programme is open only to users who: (a) have a valid Hata account; (b) have successfully completed KYC Verification; (c) remain active and in good standing with Hata; (d) satisfy any eligibility requirements, campaign conditions, jurisdictional restrictions, or compliance requirements imposed by Hata from time to time; (e) are not suspended, restricted, terminated, or otherwise disqualified by Hata; (f) are individuals verified under KYC Verification and are not accounts registered or verified under KYB or any business, corporate or institutional verification framework; and (g) are not enrolled in, operating under, or otherwise participating in any agent, intermediary or similar programme designated by Hata as incompatible with the Programme.

3.2 A Referee may only participate in the Programme if:(a) the Referee has not previously applied or used any Buddy Bonus Code, affiliate code, referral code, promo code or other code designated by Hata as incompatible with this Programme;(b) the Referee applies the Buddy Bonus Code at sign-up or within thirty (30) days from the date of the Referee’s account creation, through such sign-up flow, Buddy Bonus section or other interface as Hata may make available;(c) the Buddy Bonus Code used is valid, active and accepted by Hata’s systems; and(d) the Buddy Bonus Code belongs to a user who signed up before the Referee.

3.3 A Referee may apply only one (1) Buddy Bonus Code. Once applied, the Buddy Bonus Code cannot be changed, replaced, removed or retrospectively applied, except where Hata determines otherwise in its sole discretion.

3.4 A Referrer may only participate in the Programme and share a Buddy Bonus Code after becoming a Verified User and after Hata has enabled such user for participation in the Programme.

3.5 Hata reserves the right to determine all eligibility for the Programme in its sole discretion.

Programme Mechanics

4.1 Under the Programme, an eligible Referee may enter a valid Buddy Bonus Code at sign-up or through the Buddy Bonus section or such other interface made available by Hata, within the period specified in Clause 3.2.

4.2 Subject to these Programme Terms, once a Referee has successfully joined the Programme and completed KYC Verification, the Referee may also become eligible to receive and share their own Buddy Bonus Code with others.

4.3 The Programme operates based on the qualifying conditions set out in these Programme Terms. Subject to Hata’s determination that all applicable conditions have been fulfilled, the Referrer and the Referee may each become eligible to receive Rewards.

4.4 Hata may, in its sole discretion, determine whether any account, deposit, transaction, purchase, activity or milestone qualifies for the purposes of the Programme.

4.5 The applicable qualifying thresholds, supported assets, reward amounts, campaign details and other Programme-specific requirements may be published on the Referral Page and updated by Hata from time to time. Participants are responsible for reviewing the Referral Page for the most current Programme details.

Qualifying Actions and Rewards

5.1 Subject to these Programme Terms, where the Referee:

(a) signs up and successfully completes KYC Verification;

(b) completes such eligible external deposit, in-app instant buy or other qualifying transaction in respect of any supported crypto, meeting the minimum qualifying threshold specified on the Referral Page, as determined by Hata, provided that internal transfers or sends between Hata users shall not qualify unless otherwise stated on the Referral Page;

(c) after completion of Clause 5.1(b), initiates such qualifying staking plan or other qualifying activity meeting the applicable threshold, tenure and other requirements specified on the Referral Page, as determined by Hata; and

(d) satisfies such other requirements as Hata may prescribe in these Programme Terms or on the Referral Page for the purposes of the Programme,

the Referrer and the Referee may become eligible to receive the Reward amount specified on the Referral Page, in such form and subject to such conditions as Hata may determine in accordance with these Programme Terms.

5.2 Hata shall determine in its sole discretion whether the applicable KYC, deposit, instant buy, asset type, valuation, staking initiation, sequencing and maintenance requirements have been satisfied, including whether a transaction qualifies for purposes of the Programme, whether any transaction is excluded, whether the relevant staking plan was initiated only after completion of the applicable qualifying transaction under Clause 5.1(b), and whether the applicable staking requirement has been fulfilled in accordance with Hata’s systems and Programme logic. For the avoidance of doubt, the relevant staking requirement shall be treated as fulfilled only upon the maturity of the relevant qualifying staking plan, provided that the relevant staking plan has not been cancelled before the expiry of such maturity. If a Referee cancels the relevant staking plan before its maturity, the relevant staking requirement may be treated as incomplete, the original enrolment window shall continue and shall not reset, and any subsequent qualifying stake may be assessed by Hata by reference to the new staking request date and such other conditions as Hata may determine.

5.3 Any Reward under this Clause 5 shall only become claimable once approved by Hata and once the applicable reward status has changed to claimable in accordance with Hata’s systems and Programme logic, including upon the maturity of the relevant qualifying staking plan, provided that the relevant staking plan has not been cancelled before then. For the avoidance of doubt, such claimability timing may not correspond exactly with the technical maturity date of the relevant staking plan where there is any activation delay or operational processing period. Where a Reward is paid in BTC, the BTC unit equivalent of the applicable RM-denominated Reward may be determined, calculated and locked in by Hata at the time the Reward becomes claimable, in accordance with Hata’s applicable pricing methodology, and the amount so determined shall be the amount payable upon claim, regardless of any subsequent movement in the price of BTC.

5.4 Hata reserves the right to determine and revise from time to time the qualifying thresholds, qualifying transactions, supported assets, staking requirements, reward amounts, campaign period and any other Programme details, including by updating the Referral Page, in its sole discretion.

5.5 General Reward Conditions

(a) Rewards are personal to the relevant participant and are non-transferable, non-assignable, non-exchangeable and not redeemable for cash, unless Hata expressly determines otherwise.

(b) Any value assigned to a Reward in Ringgit Malaysia is indicative only. Where a Reward is issued in a digital asset, the quantity, conversion basis, valuation time, pricing source and method of calculation shall be determined by Hata in its sole discretion.

(c) Hata reserves the right, at any time and in its sole discretion, to:

(i) determine the type, form, value and amount of any Reward;

(ii) substitute any Reward with another reward, benefit, asset or incentive of equivalent or different nature or value;

(iii) amend, reduce, suspend, withhold, defer, cancel or discontinue any Reward or reward structure; and/or

(iv) impose additional conditions, limitations, holding periods, eligibility requirements, campaign caps or budget limits in relation to any Reward.

(d) All Rewards are subject to availability, campaign allocation, internal budget, operational capacity, and Hata’s ongoing commercial, legal, regulatory and compliance considerations.

(e) Satisfaction of any stated eligibility criteria or qualifying activity shall not by itself confer on any participant any automatic, accrued or vested right to receive any Reward.

(f) A Reward shall only be deemed payable, claimable or released if and when Hata has expressly approved such Reward and made it available for claim or credit on the Hata platform, subject always to these Programme Terms.

(g) Hata may, in its sole discretion and without liability, reject, withhold, defer, reduce, suspend, cancel or refuse to release any Reward where Hata considers such action necessary or desirable for operational, commercial, legal, regulatory, compliance, risk management, fraud prevention, budgetary or campaign administration purposes.

(h) Hata may refuse to issue or permit the claim of any Reward where the relevant qualifying activity is reversed, cancelled, disputed, refunded, charged back, flagged, restricted, under review, or otherwise determined by Hata not to be valid for purposes of the Programme.

Completion Deadline

6.1 To be eligible for any Reward under the Programme, the Referee must complete the applicable qualifying actions within ninety (90) days from the date of enrolment in the Programme, or such other period as Hata may determine, and must satisfy any applicable staking initiation andmaintenance conditions prescribed by Hata for the relevant staking plan, including the requirement that the relevant qualifying staking plan must reach its maturity without cancellation

6.2 If the Referee fails to complete the relevant qualifying actions within the applicable enrolment window, or otherwise fails to satisfy the applicable staking or maintenance conditions, including where the relevant staking plan is cancelled before its maturity, the Referee’s enrolment may be invalidated and the Referrer and/or the Referee, as applicable, shall not be entitled to the corresponding Reward.

6.3 Hata may, in its sole discretion, determine whether any action or condition has been completed or maintained within the required time period.

Claiming of Rewards

7.1 Any Reward is subject to Hata’s review, approval, internal verification and release process. Even where a participant appears to have satisfied the relevant criteria, Hata shall have the right, in its sole discretion, to determine whether any Reward will be credited, made claimable or released.

7.2 Eligible Rewards must be claimed through such process, interface or method as Hata may prescribe, in accordance with Hata’s procedures, instructions and any additional verification requirements.

7.3 Any Reward that becomes claimable but remains unclaimed shall expire after the applicable claim period specified on the Referral Page, unless otherwise determined by Hata. Upon expiry, the relevant Reward shall lapse automatically without compensation or liability to Hata. For the avoidance of doubt, where a claim is validly submitted within the applicable claim period but cannot be processed due to insufficient reward funding or a similar operational issue determined by Hata, Hata may continue to treat such claim as valid notwithstanding the expiry of the claim period.

7.4 Hata may impose additional compliance checks, security reviews, processing requirements, cooldown periods, fraud screening measures, or operational restrictions before permitting any Reward to be claimed, credited, used, transferred or withdrawn.

7.5 Hata may at any time impose a maximum campaign pool, participant cap, reward cap, issuance limit or other limit on the availability of Rewards under the Programme. Once such limit is reached, Hata may suspend, reduce or discontinue further Rewards without liability, notwithstanding that any participant may otherwise have completed the relevant qualifying activity.

7.6 Hata’s records in relation to the accrual, availability, status, expiry, claim and forfeiture of any Reward shall, save for manifest error, be final and binding.

Restrictions and Prohibited Conduct

8.1 The Programme must be used only for genuine and lawful referral purposes and must not be used in any fraudulent, abusive, misleading, manipulative, unlawful or improper manner.

8.2 Without limitation, Hata may reject, suspend, cancel, reverse, withhold or claw back any Reward, and/or suspend, restrict or terminate participation in the Programme, if Hata suspects or determines that:

(a) a participant has created or operated multiple, duplicate, fictitious or fraudulent accounts;

(b) there has been self-referral, circular referral, reciprocal referral, household abuse, referral between accounts controlled by the same person, or any arrangement intended to improperly obtain Rewards;

(c) any deposit, purchase, transaction or account activity is not bona fide, has been structured solely to obtain Rewards, or is otherwise abusive, suspicious or manipulative;

(d) any qualifying activity has been reversed, disputed, cancelled, refunded, charged back or otherwise invalidated;

(e) any participant has breached these Programme Terms, Hata’s Terms of Use, applicable law, or any regulatory or compliance requirement;

(f) any suspicious, illegal, prohibited or unauthorised activity is detected; or

(g) any suspicious or abusive activity involving same-device usage, same-IP address patterns, repeated use of the same external wallet address across multiple referee accounts, self-referral behaviour, or any similar conduct indicating attempted abuse of the Programme is detected.

8.3 Hata reserves the right to investigate any activity connected with the Programme and may require participants to provide information, records or documents to verify compliance.

8.4 Hata’s determination on all matters relating to eligibility, qualifying activity, abuse, fraud, Rewards and enforcement under the Programme shall, save for manifest error, be final and binding.

8.5 Hata may, in its sole discretion and without liability, invalidate, withhold, suspend or cancel any pending or claimable Reward, or revoke a participant’s eligibility under the Programme, where Hata considers such action necessary or appropriate based on compliance requirements, fraud prevention measures, external fraud intelligence, KYC/AML review outcomes, operational risk considerations, or any other legitimate commercial, legal or regulatory reason determined by Hata. For the avoidance of doubt, Hata may apply such action to a Referrer or a Referee independently, and any such action affecting one participant shall not automatically require Hata to invalidate or cancel the Reward of the other participant. A Referrer’s subsequent closure, exit, inactivity, suspension or removal from the Programme shall not, by itself, prevent a Referee from continuing to complete the applicable qualifying actions or from accruing or claiming any Reward otherwise validly earned under the Programme, subject always to Hata’s rights under these Programme Terms to invalidate, suspend, withhold or cancel any Reward on grounds including fraud, abuse, compliance concerns or other disqualifying circumstances.

Suspension, Variation and Termination

9.1 Hata reserves the right, at any time and in its sole discretion, with or without prior notice, to:(a) amend, vary, supplement or replace these Programme Terms;(b) change any aspect of the Programme, including eligibility criteria, qualifying actions, thresholds, timelines, lock-up periods, reward types, reward values, reward structures, campaign allocations, campaign budgets and claim procedures;(c) suspend, discontinue, withdraw, cap or terminate the Programme, in whole or in part; and/or(d) suspend, restrict, disqualify or remove any participant from the Programme.

9.2 Any amendment, variation, suspension or termination may take effect immediately upon publication on Hata’s website, platform, mobile application or by such other means as Hata may determine.

9.3 Continued participation in the Programme after any such change takes effect shall constitute acceptance of the revised Programme Terms.

No Guarantee and No Entitlement

10.1 Participation in the Programme does not guarantee that any participant will receive any Reward.

10.2 No participant shall have any right, claim or entitlement to any Reward unless and until Hata has, in its sole discretion, approved such Reward and made it available for claim or credit.

10.3 Completion of any qualifying action, satisfaction of any eligibility criteria, or appearance of any reward status, campaign progress, notification or communication made available by Hata shall not be construed as creating any binding obligation on Hata to grant, credit, release or honour any Reward.

10.4 Hata shall not be obliged to issue, replace, reinstate or compensate any Reward that has been withheld, deferred, rejected, reduced, suspended, cancelled, expired, forfeited or discontinued in accordance with these Programme Terms.

Taxes, Fees and Charges

11.1 Participants are solely responsible for any taxes, duties, levies, fees, reporting obligations or other liabilities arising from or in connection with participation in the Programme or receipt of any Reward.

11.2 Hata shall not be responsible for any spreads, fees, transfer charges, gas fees, network fees, conversion losses, exchange rate differences or valuation fluctuations associated with any Reward.

Personal Data

12.1 By participating in the Programme, each participant acknowledges and agrees that Hata may collect, use, process, disclose and otherwise handle the participant’s personal data for purposes relating to the administration, operation, monitoring, fraud prevention, enforcement and compliance of the Programme, in accordance with Hata’s Privacy Policy and applicable law.

12.2 Hata may display or communicate limited referral-related information through the Hata platform, mobile application, website, email, push notifications, social media channels or such other means as Hata may determine, including reward status, campaign progress, referral activity, reminders, reward availability notices, expiry alerts and such other limited information as Hata considers necessary for the operation of the Programme.

No Financial or Investment Advice

13.1 The Programme and any information made available in connection with it are provided for promotional, informational and educational purposes only.

13.2 Nothing in the Programme or these Programme Terms constitutes financial, investment, legal, tax or other professional advice, or a recommendation to purchase, sell, hold or transact in any digital asset.

13.3 Digital assets are highly volatile and involve risk. Participants should carefully consider their own circumstances and obtain independent advice where appropriate.

Limitation of Liability

14.1 To the fullest extent permitted by law, Hata shall not be liable for any loss, damage, cost, expense, claim or liability suffered or incurred by any person arising out of or in connection with: (a) participation or inability to participate in the Programme; (b) any ineligibility, disqualification, suspension or removal from the Programme; (c) any delay, interruption, failure, error or omission in the operation of the Programme, the Hata platform, or any related interface, process, communication channel or feature made available by Hata; (d) any withholding, reversal, cancellation, suspension, forfeiture, expiry or clawback of any Reward; (e) any fluctuation in the value of BTC or any other digital asset forming part of a Reward; or (f) any technical issue, system failure, security event, fraud review, compliance action, regulatory requirement, market disruption or operational restriction affecting the Programme.

14.2 Nothing in these Programme Terms shall exclude or limit any liability that cannot be excluded or limited under applicable law.

General

15.1 Hata’s failure or delay in exercising any right, power or remedy under these Programme Terms shall not operate as a waiver of that right, power or remedy.

15.2 If any provision of these Programme Terms is held to be unlawful, invalid or unenforceable, that provision shall be severed and the remaining provisions shall continue in full force and effect.

15.3 These Programme Terms shall be governed by and construed in accordance with the laws of Malaysia.

15.4 Any dispute arising out of or in connection with these Programme Terms shall be subject to the exclusive jurisdiction of the courts of Malaysia.

15.5 These Programme Terms are prepared in the English language. In the event of any inconsistency between any translated version and the English version, the English version shall prevail.
